Irbanah Ventures Acquires Shares In Clover Pakistan Limited

Published on

Clover Pakistan Limited has disclosed that Irbanah Ventures International LLC-FZ acquired two million of its shares through a regular market purchase on August 3, 2026, at a price of Rs8.56 per share, taking the total value of the transaction to Rs17.12 million. The disclosure was made in a notice filed with the Pakistan Stock Exchange, where Clover Pakistan trades under the symbol CLOV.

According to the notice, the shares were purchased in electronic form through the Central Depository Company, and the transaction was carried out as a regular market purchase rather than through any off market or negotiated arrangement. The company stated that the acquisition currently results in no change to its management, board composition or operational control, indicating that the transaction represents a straightforward increase in Irbanah Ventures’ shareholding rather than a move tied to any restructuring of the company’s leadership or governance.

The transaction details filed with the exchange show the purchase was completed in a single instance on August 3, 2026, covering two million shares at a per share price of Rs8.56, with the share certificate form recorded as electronic under the CDC system. Clover Pakistan’s stock was trading at Rs8.35 at the time the disclosure was reported, reflecting a decline of 0.36 percent, giving context to the price at which the acquisition took place relative to the stock’s recent trading levels.

The company added that any further developments requiring disclosure would be communicated to the market as they arise, a standard commitment companies listed on the Pakistan Stock Exchange make when reporting material shareholding changes. The disclosure itself was disseminated through a formal notification to the exchange, in line with regulatory requirements for reporting significant share transactions involving listed entities.

Share acquisitions of this kind are routinely disclosed on the Pakistan Stock Exchange when a shareholder crosses reporting thresholds or when transactions are otherwise deemed material enough to require notification to the market. The disclosure gives investors visibility into changes in ownership structure among Clover Pakistan’s shareholders, even where such changes do not immediately alter how the company is managed or governed.
