SECP Approves Agro Processors IPO to Raise Up to PKR 2.6 Billion on PSX

The Securities and Exchange Commission of Pakistan has approved the Initial Public Offering of Agro Processors and Atmospheric Gases Limited for listing on the Pakistan Stock Exchange, with the company planning to raise between PKR 1.86 billion and PKR 2.6 billion through the issuance of 58.05 million ordinary shares representing 15 percent of its post-IPO paid-up capital. The minimum price has been set at PKR 32 per share while the upper price limit stands at PKR 44.80, with the final price to be determined through a book-building mechanism that allocates 75 percent of the offering to institutional investors and high-net-worth individuals and the remaining 25 percent to general investors.

APAG is engaged in the manufacturing, processing, and marketing of edible oils, vanaspati, industrial fats, margarine, spices, and sauces, with its core operations centred on the refining and processing of soybean, canola, and other vegetable oils. The company’s business sits within one of Pakistan’s most essential consumer staples sectors, where domestic manufacturing capacity and the ability to process and refine imported raw materials at scale have direct implications for food security, consumer price stability, and the country’s dependence on imported finished products. A listed entity with access to public capital markets is better positioned to invest in the production capacity and supply chain infrastructure that the sector requires to serve Pakistan’s growing population at scale.

The allocation of IPO proceeds reflects a capital investment agenda that goes beyond routine expansion. Around 75 percent of the funds raised at the minimum strike price will be directed toward capital expenditures covering plant and machinery, warehousing and storage facilities, and green energy infrastructure, with the green energy component signalling an intent to reduce the carbon intensity and energy cost profile of APAG’s manufacturing operations in ways that carry both regulatory and commercial relevance as Pakistan’s industrial sector faces increasing pressure to address its environmental footprint. An additional 10 percent of proceeds will be allocated to working capital requirements, while 14 percent will support marketing and distribution initiatives that are essential for converting expanded production capacity into revenue growth in a competitive consumer market. Any proceeds generated above the minimum strike price through the book-building process will be directed toward further working capital support, providing a buffer that protects the company’s operational flexibility as it executes its expansion programme.

The book-building mechanism used for this IPO allocates the majority of the initial offering to institutional investors and high-net-worth individuals, a structure that reflects both the regulatory framework for IPOs of this type and the practical reality that sophisticated investors with access to detailed due diligence resources are better positioned to evaluate the risks and opportunities of a manufacturing company’s public offering than retail investors relying on summary prospectus information alone. The 25 percent allocation to general investors ensures that the offering remains accessible to Pakistan’s broader retail investing community, consistent with SECP’s stated priority of expanding capital market participation beyond institutional and high-net-worth segments.
